EMBO started life in 1964 after leading scientists from the field had realised the importance of molecular biology for Europe. They felt the need to organise European resources in a more effective and international manner, because of the multi-disciplinary nature of molecular biology which implied that not all skills might be available in any one country.
Therefore article S2 of the Statutes of the Organization states that EMBO was established to promote and encourage the development of molecular biology in Europe and the neighbouring countries. It was one of the elements in the Statutes also that the members of EMBO are elected by the existing membership.
The initial programme of EMBO had a number of different elements:
postdoctoral fellowships in which the international character of the fellowships would be a distinguishing feature;
short term, quickly available fellowships;
senior fellowships at a professorial level for the purpose of research and teaching (similar to senior Fulbright fellowships);
establishment of EMBO professorships at universities in Member States;
a programme of EMBO research grants designed in particular to help in the initiation of new and promising developments;
the establishment of the European Laboratory of Molecular Biology;
advanced courses and study sessions in molecular biology and closely related ancillary subjects.
Many of the above mentioned elements have been put in place over the last four decades. While some of these activities have been added later, others were terminated.
One of the earlier actions of EMBO was to establish the European Molecular Biology Laboratory (EMBL) as a special project with the same general aspirations of improving molecular biology in Europe. EMBL is now a separate organisation with a different constitution and different Member States. EMBO is, therefore, independent of the EMBL.參考資料： www.embo.org

EMBO則是Employee Management Buy-out，員工也參與收購企業，即所謂員工購買股權“人人有份，絕不落空”。有學者認為大鍋飯主義的員工入股並不能激勵員工，特別是在企業規模稍大的情況下，而且讓員工把自己的儲蓄都放在一個籃子裡，也不符合現代經濟保險和分散風險的原則。其實有些做EMBO的企業並不諱言，他們本來對EMBO並不抱什麼希望，只是為了假員工之名，減少改制阻力和爭取更大折價優惠，以後還是要過渡到MBO去。
