Each of the Parties hereto shall indemnify defend and hold the other party and its Affiliates, and each entities\' directors, officers, employees and agents harmless from and against any and all claims, damages, liabilities, costs and expenses (including attorney\'s fees) arising out of any breach by the indemnifying party of any warranty, representation or agreement hereunder, or with respect to any materials added by it to the Goal TV Channels or used in the advertising and promotion thereof. The Parties acknowledge and agree that in relation to any and all of the indemnities referred to in this Agreement, the indemnified party shall give the indemnifying party reasonable notice of any action or claim of which it becomes aware and shall make no comment or admission to any third party in respect thereof. The indemnifying party shall have the right to control the legal defense of such action or claim, including the right to select legal representatives of its or their choice and to compromise and settle any such claim or action. In connection with any such matter the indemnified party shall, at the request of the indemnifying party, provide the indemnifying party with reasonable cooperation and shall have the right, at the cost and expense of the indemnifying party, to retain its own legal representatives. Provided Always that the aggregate liability of the Licensor in respect of or otherwise arising from this Agreement shall in no event be greater than the total Licence Fee paid by the Licensee to the Licensor hereunder and in no case may the Licensee collect any indirect loss, lost profits or consequential damages.
