很多人認為談判是「交換」、是「溝通」、是「對話」、是「說服」,也有人說談判是「雙贏」、是「討價還價」,是「共同決策」。這些都沒錯,但只說出了談判的一部份,而未能窺得談判的全貌。這種看法把談判只定位在你來我往,唇槍舌劍、口舌之爭的層次,或定位在故佈疑陣、暗渡陳倉、爾虞我詐的策略層次,藝術經驗多於科學分析。但所謂「談判」應是層次更高的全面性思考與戰略。

大家常說每次談判都要達成「雙贏的協議」,但不是每次都能做到。在複雜的談判中,有時甚至無法釐清到底什麼才是「雙贏」的局面。這種複雜的情況相當常見,因此一定要有系統地去處理這些問題。想要談判成功,必須在事前解決所有道德上的兩難和利益衝突。在談判上會碰到一些必須要事先考量到的道德兩難,包括:處理利益衝突必須謹慎、小心:所謂利益衝突也就是說自己可以因為獨厚某一方,而獲得財務上的好處。最起碼一定要讓所有參與談判的對象都了解,自己會面臨利益衝突的問題。
