請英文高手幫忙 商用英文回覆

前提: 外國客戶請我司簽回品質合約, 但公司傾向以拖延戰術不簽此文件, 但外國客戶卻一直詢問合約審核進度, 故我想以下面內容回覆, 但因為不太會用較完善的英文回覆, 所以請英文高手幫幫忙

因為貴司所提供的合約, 是以ODM的生產方式來撰寫的, 在合約內我司是被定義為製造商的角色

但我司所提供給貴司的產品, 是我司的標準品(加貼貴司公司名稱), 並非ODM產品, 故在我司"法務"的觀點上來看, 我司應是供應商而非製造商,故此合約內容是較不適用於我司

我建議的做法為因為此鏡頭為我司的標準品, 是否就以單純下訂單的交易模式進行, 我將會將交易模式清楚列在報價單中: 而產品規格品質的問題, 我將會提供客戶承認書供貴司簽回, 若有異常品的爭議將以承認書中的標準做依據

    Because the contract provided by your company is mainly focused on ODM makers, as defined by your contract, we are a maker.

    但我司所提供給貴司的產品, 是我司的標準品(加貼貴司公司名稱), 並非ODM產品, 故在我司"法務"的觀點上來看, 我司應是供應商而非製造商,故此合約內容是較不適用於我司

    However, in view of the products we provide for you, they belong to our standard items (with your company name marked on products) yet not ODM products. Therefore, in a legal sense, we belong to one of your suppliers but not a maker. Therefore, this contract will not applicable to our company.

    My suggestion is make our cooperation in an order-based way because this lens is our standard item. We will clearly specify trading terms in the quotation. About the issue of quality and specifications of our products, we will send you a sign-back confirmation form. If any dispute of abnormal items found, we will operate by severely complying with the standards listed in the acknowledgement.

    你的說法說不過去.

    ODM的意思就是 original design manufacture. 以你的敘述, 對方跟你的關係就是所謂的貼牌(Private Label), 也就是一種比較不嚴謹的ODM.

    對買方來說, 不管是OEM或是ODM...只要我對你的QA或是QC有看法, 廠商只能說, 這樣會有額外費用(不是說單純多人工費, 可能整個動線要改...云云), 用這種非技術性的藉口來排除困難. 而不是在ODM的定義上面做文章. 你要表明, 用我們的方法一樣品質有保障. 並且要以實際的補救措施來做補強. 這樣你一定馬上可以拿到訂單.

    Because the contract offered by yourcompany is in ODM way, in this contract our company is defined as amanufacturer, the products we provide to your company are the standard ones butaffixed to your company’s logo. In "legal" point of view, it isnot so called ODM products, our company is more likely a supplier than a manufacturer.Therefore the content is less suitable for us. I recommend to deal this in simple businessway, I will send you a quotation with full trade process in details. As for thematter of specification and qualities, I will provide a customer acknowledge letterfor your company to sign back. Any disagreement occurs, should follow standardslist on the acknowledge letter

    貴公司應將合約[原文]及貴公司希望修飾成何種文字內容併列,請對方修改。不宜拖延不決,以免傷害雙方的互信。
